Terms of Service

These Terms of Service (the “Terms”) form a legally binding agreement between you (“you”, “your”, or the “User”) and OptimiseMyCV (optimisemycv.com) (“OptimiseMyCV”, “we”, “us”, or “our”), based in Morocco, and govern your access to and use of our website, applications, and services (together, the “Service”). Please read these Terms carefully. By accessing, browsing, registering for, or otherwise using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and by all documents incorporated by reference, including our Privacy Policy, Cookie Policy, and Refund Policy. If you do not agree with any part of these Terms, you must not access or use the Service.

1. Definitions

For the purposes of these Terms, the following definitions apply:

  • “Account” means the registered account you create to access and use the Service.
  • “Content” means any material you upload, submit, paste, enter, or otherwise provide to the Service, including your CV/résumé, any job description, any template, any photo, and any text you enter or edit.
  • “Credit” means a prepaid unit that may be redeemed to access a paid feature of the Service. One (1) Credit entitles you to one (1) processing operation unless stated otherwise at the point of purchase.
  • “Unused Credits” means Credits that remain in your Account and have not yet been redeemed, consumed, applied, reserved, or otherwise used.
  • “Consumed Credits” means Credits that have been redeemed, applied, reserved, deducted, or otherwise used, in whole or in part, in connection with the Service.
  • “Output” means any result, document, score, or file that the Service produces or returns to you.
  • “Paddle” means our authorized reseller and Merchant of Record, which sells the Service to you and processes payments on our behalf.

2. Acceptance and Changes to the Terms

By creating an Account, completing a purchase, or using the Service in any manner, you agree to these Terms. We may modify, amend, supplement, or replace these Terms at any time, in our sole discretion. When we make changes, we will revise the “Last updated” date at the top of this page and may, where we consider it appropriate, provide additional notice. Any change becomes effective when posted. Your continued access to or use of the Service after any change constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically. If you do not agree to a change, your sole and exclusive remedy is to stop using the Service and to delete your Account.

3. Eligibility and Account Registration

You must be at least eighteen (18) years of age and have the full legal capacity and authority to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that all information you provide is accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account, whether or not authorized by you. You agree to notify us immediately of any unauthorized use of your Account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

4. Description of the Service

The Service is an online tool that helps you tailor, restructure, improve the wording of, and format your CV/résumé so that it better corresponds to a specific job description, and that lets you review, edit, and export the result. The Service works only with the Content you provide and does not create, invent, fabricate, or add skills, qualifications, employment history, or experience that you have not supplied. You are solely and exclusively responsible for the truthfulness, accuracy, completeness, and lawfulness of your Content and of any Output you choose to use, submit, or rely upon. The Service is provided as a tool only and does not constitute career, recruitment, legal, financial, or professional advice of any kind.

5. Credits, Pricing, and Payment

  • The Service operates on a prepaid Credit model. Access to paid features requires a sufficient balance of Credits. One (1) Credit equals one (1) processing operation unless otherwise stated at checkout.
  • All purchases are sold and processed by Paddle, which acts as the Merchant of Record (the seller of record) for the transaction. Paddle is responsible for collecting, remitting, and handling any applicable taxes, including value-added tax (VAT) and sales tax. Your purchase is also subject to Paddle's own buyer terms.
  • Prices, Credit package sizes, and any limits are those displayed at the time of purchase and may change at any time without notice; changes do not affect Credits already purchased.
  • You authorize Paddle to charge your selected payment method for the total amount shown at checkout, including any applicable taxes and fees. All amounts are payable in advance.
  • Credits have no cash value, are not transferable, are not redeemable for money except as expressly set out in our Refund Policy, and may not be combined, resold, or assigned. Unless expressly stated otherwise, Credits are personal to your Account.

6. Refunds

Refunds are governed exclusively by our Refund Policy, which forms part of these Terms. In summary, and subject to that policy: Unused Credits may be refunded only if requested within seven (7) days of purchase; Consumed Credits are non-refundable under all circumstances, and we accept no liability whatsoever in respect of Consumed Credits. Where any refund is granted, it is processed by Paddle back to your original payment method.

7. License to Your Content

You retain ownership of your Content. Solely to operate and provide the Service to you, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, adapt, and display your Content for the purpose of generating, delivering, and storing your Output and otherwise providing the Service. This license exists only to the extent necessary to provide the Service to you and terminates when the relevant Content is deleted, except for residual copies retained as required by law or held in routine backups for a limited period. You represent and warrant that you hold all rights necessary to provide your Content and to grant this license, and that your Content does not infringe or violate the rights of any third party.

8. Acceptable Use

You agree that you will not, and will not attempt to, and will not permit any third party to:

  • use the Service to create, submit, or disseminate any false, misleading, deceptive, fraudulent, or unlawful information or document;
  • upload or transmit any Content that is unlawful, defamatory, obscene, harassing, infringing, or that violates the rights of any person;
  • impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • access, tamper with, or use non-public areas of the Service, our systems, or our technical infrastructure;
  • probe, scan, test the vulnerability of, or breach any security or authentication measure of the Service;
  • copy, reproduce, scrape, crawl, harvest, frame, mirror, decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code, structure, methods, models, or operation of any part of the Service;
  • use any robot, spider, automated script, or other automated means to access, monitor, or copy the Service or its Output;
  • resell, sublicense, rent, lease, distribute, or otherwise commercially exploit the Service or any Output except as expressly permitted;
  • introduce any virus, malware, or other harmful code, or interfere with, disrupt, overburden, or impair the integrity or performance of the Service;
  • circumvent, disable, or interfere with any usage limit, metering, payment, or Credit mechanism;
  • use the Service in violation of any applicable law, regulation, or these Terms.

We reserve the right, but assume no obligation, to investigate and to take any action we deem appropriate, including removing Content, suspending or terminating Accounts, and reporting activity to authorities, in respect of any actual or suspected violation of this section.

9. Intellectual Property

The Service, including all software, source code, object code, design, text, graphics, user interfaces, layouts, logos, trademarks, methods, know-how, and all other materials and intellectual property contained in or underlying the Service, is and remains the exclusive property of OptimiseMyCV and its licensors, and is protected by intellectual property and other laws. Nothing in these Terms transfers to you any right, title, or interest in or to the Service or any of the foregoing, except for the limited, revocable, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms. All rights not expressly granted are reserved. You shall not remove, obscure, or alter any proprietary notice.

10. Third-Party Services and Links

The Service relies on Paddle for the sale and processing of payments, and may contain links to, or interoperate with, third-party websites, products, or services that are not owned or controlled by us. We do not endorse and are not responsible or liable for the availability, content, products, services, terms, privacy practices, acts, or omissions of any third party. Your dealings with any third party, including Paddle, are solely between you and that third party and may be subject to that third party's own terms and policies. We are not a party to, and disclaim all liability arising from, any such dealings.

11. No Warranties; Disclaimer

To the maximum extent permitted by applicable law, the Service and all Output are provided on an “as is” and “as available” basis, with all faults and without warranty of any kind. We expressly disclaim all warranties, conditions, representations, and guarantees of any kind, whether express, implied, statutory, or otherwise, including any implied warranties or conditions of merchantability, fitness for a particular purpose, title, accuracy, quiet enjoyment, and non-infringement. Without limiting the foregoing, we do not warrant or guarantee that: (a) the Service will meet your requirements or expectations; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) any Output will be accurate, reliable, complete, suitable, or fit for any purpose; or (d) the use of the Service will result in any interview, response, job offer, employment, or any other particular outcome. You acknowledge and agree that you use the Service and any Output entirely at your own risk and discretion.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • in no event shall OptimiseMyCV, its owners, affiliates, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, savings, business, opportunity, goodwill, data, or documents, arising out of or in any way connected with these Terms or the Service, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages;
  • our liability to you is limited to your Unused Credits only. Consumed Credits are non-refundable and carry no liability whatsoever, and we shall have no obligation, responsibility, or liability of any kind in respect of any Consumed Credit or any Output produced in connection with it;
  • without limiting the foregoing, our total aggregate liability for any and all claims arising out of or relating to these Terms or the Service shall not exceed the lesser of (i) the monetary value of the Unused Credits in your Account at the time the event giving rise to the claim occurred, or (ii) the total amounts actually paid by you to us (through Paddle) during the two (2) days immediately preceding that event, aggregating multiple payments where more than one payment was made within that period;
  • each provision of these Terms that provides for a limitation of liability, disclaimer of warranties, or exclusion of damages is intended to and does allocate the risks between the parties, is a fundamental basis of the bargain between us, and shall apply even if any limited remedy fails of its essential purpose.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. Where and to the extent such an exclusion or limitation is not permitted, our liability shall be limited to the smallest amount permitted by applicable law, and nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

13. Indemnification

You agree to defend, indemnify, and hold harmless OptimiseMyCV and its owners, affiliates, suppliers, and licensors from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your Content; (b) your use or misuse of the Service or any Output; (c) your breach of these Terms or of any applicable law; or (d) your violation of the rights of any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us.

14. Suspension and Termination

You may stop using the Service and delete your Account at any time from your account settings. We may suspend, restrict, or terminate your access to all or part of the Service at any time, with or without notice and with or without cause, including where we believe you have violated these Terms, where required by law, or to protect the Service or other users. Upon termination for any reason, your right to use the Service immediately ceases. Termination does not entitle you to any refund except as expressly provided in our Refund Policy, and any Consumed Credits remain non-refundable. All provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, sections relating to Content licenses, intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

15. Force Majeure

We shall not be liable or responsible for any failure or delay in performing our obligations where such failure or delay results from any cause beyond our reasonable control, including, without limitation, acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, governmental action, labor disputes, power or internet failures, or the failure, interruption, or unavailability of any third-party service, infrastructure, or supplier.

16. Governing Law and Jurisdiction

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter, or their formation, are governed by and construed in accordance with the laws of Morocco, without regard to its conflict-of-laws rules. You agree to submit to the exclusive jurisdiction of the competent courts of Morocco for the resolution of any such dispute or claim.

17. Dispute Resolution

Before initiating any formal proceeding, you agree to first contact us and attempt in good faith to resolve any dispute informally by writing to support@optimisemycv.com with a description of the dispute. If the dispute is not resolved within thirty (30) days, either party may pursue the remedies available under these Terms. Any claim you may have arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues; otherwise, the claim is permanently barred to the extent permitted by applicable law.

18. General Provisions

  • Entire agreement. These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous understandings.
  • Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
  • No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision, and no waiver is effective unless made in writing.
  • Assignment. You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of assets.
  • No third-party beneficiaries. These Terms do not confer any rights on any person other than you and us, except that Paddle and our suppliers and licensors are intended beneficiaries of the disclaimers and limitations of liability set out above.
  • Headings. Section headings are for convenience only and have no legal effect.
